Terms & Conditions
Effective date: May 16, 2026
These Terms & Conditions ("Terms") govern the provision of AI automation and related digital services by Sharanjeet Singh ("Provider", "I", "me") to clients ("Client", "you"). By engaging my services or making a payment, you agree to these Terms.
1. Services
I offer the following services:
- AI voice agents: inbound and outbound conversational agents, in Hindi and English, connected to the Client's CRM or record-keeping systems.
- WhatsApp automation: setup and configuration on the official WhatsApp Business API, including lead capture, qualification, nurture sequences and notifications.
- Lead pipelines and integrations: capture, scoring, routing and automation connecting the Client's existing tools.
- Websites and landing pages supporting the above systems.
- Ongoing support and maintenance of delivered systems under a retainer (see section 4).
Specific deliverables, timelines and acceptance criteria will be set out in a written proposal or scope of work for each engagement.
2. Proposals & Acceptance
All projects begin with a proposal or quotation. A project is considered accepted when you sign the proposal and provide any required upfront payment. Changes after acceptance may incur additional charges.
3. Payment Terms
- Deposit: Unless otherwise agreed, 50% deposit is required to start work.
- Final payment: Remaining 50% is due on delivery or prior to deployment, as defined in the proposal.
- Payments: Payments are processed via third-party gateways (e.g., Razorpay). You agree to provide accurate billing information and to complete payments using the gateway flow.
- Taxes: Any applicable taxes (GST, etc.) are the responsibility of the Client and will be added to invoices as required.
4. Retainer & Ongoing Support
Delivered systems are supported under a monthly retainer. A live voice or messaging system talks to real customers and depends on third-party platforms that change without notice, so ongoing monitoring and adjustment is part of running one, not an optional extra.
- Billing: The retainer is billed monthly in advance, starting the month after the system goes live, unless otherwise agreed in the proposal.
- Cancellation: Either party may cancel the retainer with written notice. [FILL: notice period and how the final month is treated.]
- Included versus billable: The proposal sets out what the retainer covers and what is quoted separately as new work. [FILL: the included/billable split.]
- If the retainer ends: Ownership of the system and its configuration is as set out here. [FILL: who owns the accounts, prompts, flows and configuration, and what handover is provided.]
- Third-party costs: Platform and usage costs (telephony minutes, messaging fees, model usage, hosting) are billed by those providers to the Client and are not included in the retainer unless the proposal says otherwise.
The Client remains responsible for the accuracy of business information the system relies on (prices, services, availability). I will make agreed changes, but I cannot know a detail has changed unless I am told.
5. Project Timeline & Delays
Timelines are estimates and depend on timely client feedback and access to assets. Delays caused by the Client (late feedback, missing content, credentials) may push delivery dates. I will notify you of schedule changes.
6. Client Responsibilities
The Client is responsible for providing clear requirements, content, images, branding assets, and any account credentials necessary to complete the project (hosting, domain, payment gateways). Sensitive credentials should be shared securely.
7. Revisions
Revisions are not counted as a separate unit of work. During the build I tune the system until it behaves as agreed at the design stage, and that is part of the engagement rather than an extra. Changes requested after go-live are covered by the retainer (see section 4). Work that goes beyond the signed-off design — a new agent, a new integration, a new channel — is quoted separately as new scope.
8. Ownership & Intellectual Property
On full payment, I transfer ownership of final deliverables and source code as agreed in the proposal. I retain the right to describe the work in my case studies and marketing unless a separate confidentiality agreement is signed.
9. Third-Party Services
I may use third-party services (hosting, telephony, messaging and automation platforms, payment gateways). The Client is responsible for third-party subscription fees and complying with their terms. I am not responsible for outages or changes in third-party services.
10. Payment Gateway Integration
When I integrate payment gateways (Razorpay, Stripe, etc.), the Client is responsible for setting up merchant accounts and providing required KYC documents. Payments are processed by the gateway and subject to their policies and fees. I will implement and test integration, but settlement and refunds are handled via the gateway and the merchant account.
11. Confidentiality
Both parties agree to keep confidential information private and use it solely for project purposes. Confidential information does not include publicly available materials or information required to be disclosed by law.
12. Warranties & Disclaimers
I warrant that services will be performed with reasonable skill. Except as expressly stated, services are provided "as is" and I disclaim all other warranties. I do not guarantee specific business outcomes (traffic, sales, leads) unless specified in a written agreement.
13. Limitation of Liability
To the maximum extent permitted by law, my liability for any claim arising under these Terms is limited to the total fees paid by you for the specific service giving rise to the claim. I am not liable for indirect or consequential losses.
14. Termination & Cancellation
Either party may terminate an agreement for material breach with written notice. On termination, the Client will pay for work completed up to the termination date. Refunds (if any) are handled per my Refund Policy.
15. Dispute Resolution & Governing Law
These Terms are governed by the laws of India. Any disputes will be resolved in the courts of New Delhi, India. I encourage good-faith negotiation prior to any legal action.
16. Changes to Terms
I may update these Terms occasionally. Material changes will be posted on this page with an updated effective date.
